Frictionless Markets and it's securitization vehicle Frictionless Markets Securities has published a comprehensive PPM and supporting management regulations of the Fund. Each tokenized product also published its special management regulations for professional clients to scrutinize. No Public Offer in the E.U & E.E.A
The products and services provided by Frictionless Markets and its affiliates are strictly available to institutional investors, including those accredited or classified as professional investors, in compliance with (2014/65/EU) regulation, and with relevant laws and regulations in jurisdictions where distributors operate. These offerings are not designed for the general public or retail investors.

U.S Selling Restriction
The products, specifically the tokenized securities have not been and will not be registered under the U.S. Securities Law, and may not at any time be offered, held or sold within the United States or to, or for the account or benefit of, any person who is (a) a U.S. person as defined in Regulation S under the U.S. Securities Act or (b) not a Non-United States person as defined in Rule 4.7 under the U.S. Commodity Exchange Act of 1936, but excluding for purposes of subsection (D) thereof, the exception to the extent that it would apply to persons who are not Non-United States persons.
